The online store Cotraneurope.com (including all associated subdomains) has been set up by Cotran Europe (trading name Cotran), operator and owner of the site. Any order of a product on Cotraneurope.com implies prior consultation and acceptance of these general terms and conditions of sale. Consequently, the consumer acknowledges being fully informed that their agreement to the content of these general terms and conditions does not require a handwritten signature, insofar as the client wishes to order online the products presented on the store.
The consumer has the option to save or print these general terms and conditions, it being specified that both saving and printing are their sole responsibility.
In the case of personal use of products ordered from Cotraneurope.com, the customer has specific rights, which would be nullified if the products or services acquired from Cotraneurope.com are in fact related to their professional activity.

Prices are displayed excluding VAT. The final amount of an order, including shipping and applicable VAT, is always known before the order is confirmed.
Shipping is carried out by the carrier chosen by the customer or, failing that, at the discretion of Cotran Europe.
Depending on the order amount, shipments are protected by insurance.
As the order is processed, it acquires different statuses, which are communicated to the customer via email at the address provided:
– Processing: the order is recorded in our database.
– Shipped: the order has been fully processed.
– Cancelled: the order has been cancelled by the customer within the legal period or could not be fulfilled.
– Pending: the order is on hold; an action may be required from the customer.
– Partially shipped: one product is still being ordered from our suppliers and will be sent upon receipt, without further action from the customer.
The consumer has a period of 7 working days to return, at their own expense, any products that do not suit them.
Cotraneurope.com reserves the right to change its prices and product offerings at any time. However, the price of a confirmed order remains binding and cannot be changed.
All information is presented in French. Information provided in other languages is for informational purposes only.
The consumer declares to have full legal capacity to agree to these general terms and conditions.
Contractual Articles
Article 1: Entire Agreement
These general terms and conditions constitute the entire agreement between the parties. In this regard, the consumer is deemed to accept without reservation all provisions set out in these terms. No general or specific condition stated in documents sent or provided by the consumer shall be included herein if they are incompatible with these general terms and conditions.
Article 2: Purpose
These general terms and conditions are intended to define the rights and obligations of the parties in connection with the online sale of goods and services offered by Cotran to the consumer.
Article 3: Contractual Documents
This contract is composed of the following contractual documents, in descending order of priority: these general terms and conditions; the order form. In the event of a conflict between provisions in documents of different rank, the provisions of the higher-ranking document shall prevail.
Article 4: Effective Date – Duration
These general terms and conditions take effect on the date the order form is signed. They are concluded for the duration necessary to supply the goods and services, until the expiry of any guarantees provided by Cotran Europe.
Article 5: Electronic Signature
The consumer’s “double click” on the order form constitutes an electronic signature which, between the parties, has the same legal value as a handwritten signature.
Article 6: Order Confirmation
The contractual information will be confirmed by email at the latest at the time of delivery to the address indicated by the consumer on the order form.
Article 7: Proof of Transaction
Computerized records kept in Cotran’s IT systems under reasonable security conditions will be considered proof of communications, orders, and payments made between the parties. Order forms and invoices are archived on a reliable and durable medium that can be produced as evidence.
Article 8: Product Information
8-a: Cotran provides the essential characteristics of its products on Cotraneurope.com in accordance with Article L111-1 of the French Consumer Code.
8-b: Offers from Cotran are only valid while stocks last.
8-c: Photos, images, or other visual documents are for informational purposes only and do not have contractual value. The product description prevails.
8-d: Certain products, due to their technical nature or use, may present risks. The customer declares having the necessary prerequisites to use the product (minimum age, insurance, license, etc.). They agree not to entrust the equipment to someone lacking those prerequisites.
Article 9: Prices
Prices are shown in euros excluding VAT and are valid only on the date the purchase order is submitted. They do not include shipping fees, which are specified before final confirmation.
After confirmation, VAT is applied based on the rate in force at the time of the order. Any change in this rate will be reflected in the product prices. Full payment is required upon ordering unless financing is offered.
Amounts paid cannot be considered deposits or down payments.
Article 10: Payment Methods
To pay for the order, the client can use any of the methods shown on the purchase order. The client guarantees Cotran that they have the necessary authorizations to use the chosen method.
Cotran reserves the right to suspend or cancel any order or delivery if a payment authorization is denied or if a prior payment issue is unresolved.
Any unpaid amount will be subject to immediate and systematic collection, managed by a specialized service provider, and all associated costs are borne by the client.
Cotran has implemented an anti-fraud procedure, which may require the customer to send ID and proof of address. The order will only be validated upon receipt and verification.
Article 11: Product Availability
For in-stock items, orders are processed within 3 business days following the order. For backordered items or items with specific lead times, orders will be fulfilled within 3 business days of Cotran receiving the product.
If the product is unavailable, the consumer will be informed and can choose to cancel the order for a refund within 30 days or opt for an exchange.
Article 12: Delivery Terms
Products are delivered to the address provided by the client and only to countries listed at checkout. The customer must check the condition of the package and report any damages to the carrier and Cotran within 48 hours.
Orders are shipped via the carrier selected by the customer or, failing that, by Cotran’s preferred carrier.
Non-express deliveries are typically handled by Colissimo Suivi, which delivers in France within 48 hours. In case of absence, the package can be picked up at the local post office for 15 days.
In case of delivery delays, the customer should contact Cotran, which will initiate an investigation with the carrier. After 21 days, if the package is declared lost, Cotran will resend the product or issue a refund.
Article 13: Delivery Issues Due to Carrier
Any delivery anomaly (damage, missing items, broken products…) must be noted on the delivery note with handwritten remarks and the customer’s signature.
The customer must confirm the issue to the carrier by registered letter within two business days, and send a copy to:

Article 14: Delivery Errors
14-a: Any claim for delivery error or non-conformity must be submitted within seven days.

14-c: Claims not made properly and within timeframes cannot be accepted.
14-d: Upon receipt, Cotran will assign a return reference number and inform the client.
14-e: Returns must be complete, in original packaging, securely wrapped and sent via tracked mail to the address above.
Cotran covers return shipping costs unless the product returned doesn’t match the customer’s initial claim.
Article 15: Product Warranty
In accordance with Decree No. 78-464 of March 24, 1978, these terms do not affect the legal warranty against hidden defects.
The consumer is informed that Cotran is not the manufacturer (as per Law No. 98-389 of May 19, 1998). In case of damage due to a product defect, only the manufacturer can be held liable.
The warranty is void in case of misuse, unauthorized disassembly, inappropriate environment, or non-original accessories.
The customer must return defective products within one month, with a copy of the invoice, properly packaged and sent via registered mail. Cotran will return a repaired or replacement product at its own expense.
Returns found to be unjustified will incur a charge equal to 15% of the product price.
Article 16: Right of Withdrawal
The consumer has 14 days from delivery to request a return, and 14 more days to send the item back. This right applies only to individuals, not professionals.
Returns must be complete, in original packaging and resalable condition, sent at the customer’s expense.
The consumer can request a refund or an exchange. Refunds are issued within 15 to 30 days, depending on product type, via the original payment method or by check.
Article 17: Usage Rights
The customer is granted a non-exclusive, personal, and non-transferable right to use Cotran software. A backup copy is permitted under Article L122-6-1 of the Intellectual Property Code.
The software author retains all ownership rights, which the customer agrees to respect.
Article 18: Force Majeure
Neither party shall be liable for a delay or failure caused by an unforeseeable, external, and unavoidable force majeure event.
The affected party must notify the other within 10 working days. If the force majeure lasts more than three months, the agreement may be terminated.
Force majeure includes (but is not limited to): transport blockages, earthquakes, floods, storms, lightning, and communication network failures.
Article 19: Partial Invalidity
If any clause of these terms is deemed invalid by law or court decision, the remaining clauses remain in full force.
Article 20: No Waiver
Failure by either party to enforce any clause shall not be construed as a waiver of that clause in the future.
Article 21: Headings
In case of interpretation issues, the clause headings will be considered nonexistent.
Article 22: Governing Law
These terms are governed by French law.
In case of dispute, the consumer should first contact Cotran to seek an amicable resolution.
If the customer is a professional, the courts of Lille shall have exclusive jurisdiction.
Article 23: Data Protection
Personal data is required to process orders and may be shared with partners involved in order fulfillment.
The consumer may contact Cotran to oppose such sharing or exercise their rights of access and correction under the law of January 6, 1978.
The website Cotraneurope.com is registered with the French Data Protection Authority (CNIL), registration pending.
Article 24: Limitation of Liability
Products sold may cause injury if misused.
By purchasing on Cotraneurope.com, the customer certifies that they or the end-user meet the required conditions (age, insurance, license).
Cotran accepts no liability for injury, property damage, or death related to product use.
Using the products implies full and unconditional acceptance of this liability waiver.
